NFT PURCHASE AGREEMENT This NFT Purchase Agreement ("Agreement") is entered into by and between the undersigned buyer ("Buyer") and the undersigned creator ("Creator"), collectively referred to as the "Parties." This Agreement outlines the rights and limitations associated with the purchase and ownership of the NFT linked to the underlying content, including but not limited to audio, visual artwork, or other digital media ("Content"). 1. NFT Purchase and Ownership 1.1 NFT Ownership: By purchasing the NFT, Buyer receives ownership of a unique, non-fungible token ("NFT") that represents a digital asset (the "Content"). The NFT grants Buyer the right to hold, transfer, or resell the token on secondary markets. 1.2 Intellectual Property Ownership: Buyer acknowledges that the purchase of the NFT does not transfer any intellectual property rights to the underlying Content, including copyrights, trademarks, or the right to reproduce or create derivative works. Intellectual property remains with the Creator unless explicitly granted. 2. License to Use the Content 2.1 Personal Use License: Buyer is granted a limited, non-exclusive, non-transferable license to use the digital file associated with the NFT for personal, non-commercial purposes only. This includes: Viewing or listening to the Content Displaying the Content on personal devices or social media profiles (for non-commercial purposes). 2.2 Commercial Use License: The Buyer is granted a limited commercial use license for profit-making purposes, such as: Licensing the Content to third parties Using the Content in advertising, merchandising, or business. The Buyer must not use the Content in a way that competes with or damages the Creator’s brand. 2.3 Restrictions on Use: Buyer is prohibited from: Reproducing, distributing, or displaying the Content for commercial purposes beyond those explicitly granted. Modifying or creating derivative works without the Creator’s prior written consent. 3. Secondary Sales and Royalties 3.1 Resale Royalties: In the event of resale, the Creator shall receive a royalty of 50% of the resale price. This royalty is automatically executed via the smart contract on the blockchain. 3.2 Royalty Payment: Resale royalties of 50% are paid directly to the Creator via the smart contract at each resale. 4. No Claim to Intellectual Property 4.1 Non-Transferable Intellectual Property Rights: The purchase of the NFT does not grant the Buyer rights to the Content's intellectual property. The Creator retains all rights to: Reproduce, distribute, and perform the Content License the Content to third parties Create derivative works or adaptations. 4.2 No Commercial Use Without Permission: Buyer may not use the Content for commercial purposes without written permission from the Creator, including licensing, merchandising, or media campaigns. 5. Prohibited Actions 5.1 No Derivative Works: Buyer may not modify, adapt, or create derivative works of the Content without permission from the Creator. 5.2 No Commercial Exploitation Without Permission: Buyer may not use the Content commercially without prior authorization. 5.3 No Claim of Ownership: The Buyer agrees not to claim ownership or authorship of the Content. 6. Jurisdiction and Governing Law 6.1 Governing Law: This Agreement shall be governed by the laws of [Seller’s Jurisdiction], applicable globally. 6.2 Arbitration: Any disputes will be resolved through binding arbitration in [Location]. 7.
